Terms of Service & End User License Agreement

These Terms of Service and End User License Agreement ("Terms") constitute a legally binding agreement between you ("you" or "User") and Williams Outdoor Gear LLC ("Company," "we," "us," or "our") concerning your access to and use of the MotoPacker mobile application and website (collectively, the "Service").

1. Acceptance of Terms

By creating an account, downloading, installing, or using MotoPacker, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age (or the age of legal majority in your jurisdiction), you represent that your legal guardian has reviewed and agreed to these Terms.

By using the Service, you represent and warrant that:

• You meet the age requirements above
• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable laws and regulations

3. License Grant

3.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Download and install the MotoPacker application on your personal device(s)
• Access and use the Service for your personal, non-commercial use

3.2 License Restrictions

You agree that you will NOT:

• Copy, modify, distribute, sell, or lease any part of the Service
• Reverse engineer, decompile, or disassemble the Service or attempt to derive source code
• Remove, alter, or obscure any proprietary notices from the Service
• Use the Service for any illegal, unauthorized, or prohibited purpose
• Upload or transmit viruses, malware, or any other harmful code
• Attempt to gain unauthorized access to the Service or other users' accounts
• Scrape, data mine, or use automated tools to extract data from the Service
• Use the Service for commercial purposes without our prior written permission
• Resell, redistribute, or sublicense access to the Service
• Create derivative works based on the Service
• Interfere with or disrupt the integrity or performance of the Service
• Impersonate any person or entity or misrepresent your affiliation

4. User Accounts

4.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

4.2 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, fraudulent or illegal activity, extended inactivity, or at your request.

You may terminate your account at any time through the app settings or by contacting us at support@motopackerapp.com.

5. Subscription Services

5.1 Subscription Plans

MotoPacker offers subscription-based access to premium features on a monthly or yearly basis. By subscribing, you agree to pay the subscription fees as displayed in the app at the time of purchase.

5.2 Billing and Payment

• Subscriptions are billed in advance on a recurring basis (monthly or yearly)
• Payment will be charged to your Apple App Store or Google Play Store account at confirmation of purchase
• Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period
• Subscription prices are subject to change with notice

5.3 Managing Subscriptions

You can manage your subscription through your account settings:

• Apple App Store: Settings > [Your Name] > Subscriptions
• Google Play Store: Play Store > Account > Subscriptions

5.4 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to premium features until the end of your current billing period. No refund will be provided for the remaining days in your current billing period.

5.5 Free Trials

We may offer free trial periods for new subscribers. If you do not cancel before the trial period ends, you will be charged the subscription fee. Free trials are limited to one per user and may not be combined with other offers.

5.6 Refund Policy

All purchases are processed through the Apple App Store or Google Play Store. Refund requests are subject to the refund policies of these platforms. To request a refund, please contact Apple or Google directly. We do not have the ability to issue refunds for purchases made through these app stores.

6. User Content

6.1 Definition

"User Content" means any content you create, upload, post, or share through the Service, including packing lists, gear reviews, photos, profile information, comments, and motorcycle/riding information.

6.2 Ownership and License

You retain ownership of your User Content. You grant Williams Outdoor Gear LLC a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, and display your User Content in connection with the Service.

When you choose to share packing lists or make your profile public, you grant other users the right to view and reference that content for personal use. Other users may not commercially exploit or claim ownership of your shared content.

6.3 Content Standards

You agree NOT to post User Content that is defamatory, obscene, offensive, promotes discrimination or harm, infringes third-party rights, contains illegal content, or contains spam or impersonation.

6.4 Content Monitoring

We reserve the right, but have no obligation, to monitor, review, remove, or edit User Content. We do not endorse any User Content and are not responsible for its accuracy, reliability, or legality.

7. Intellectual Property Rights

The Service and its entire contents are owned by Williams Outdoor Gear LLC or its licensors and are protected by U.S. and international intellectual property laws. The MotoPacker name, logo, and related marks are trademarks of Williams Outdoor Gear LLC. You may not use such marks without our prior written permission.

8. Third-Party Services and Links

The Service may contain links to third-party websites or services. We do not endorse and are not responsible for the availability, accuracy, content, or products of such services.

8.1 Third-Party Service Providers

The Service uses the following third-party services:

• Firebase (Google)
• Amazon Web Services (AWS)
• Google Analytics
• Stripe (payment processing)
• OpenAI (ChatGPT for AI recommendations)
• Facebook Ads and Google Ads

9. AI-Generated Recommendations

MotoPacker uses artificial intelligence (OpenAI ChatGPT) to provide gear recommendations and packing list suggestions. Please note:

• AI recommendations are for informational purposes only
• We do not guarantee the accuracy, completeness, or suitability of AI-generated recommendations
• You are solely responsible for evaluating and implementing any AI suggestions
• AI recommendations should not replace your own judgment, especially regarding safety equipment
• We are not liable for any issues arising from following AI-generated recommendations

10. Disclaimers and Limitations of Liability

10.1 Service Availability

We strive to provide uninterrupted access to the Service but do not guarantee that the Service will be available at all times, error-free, or free from harmful components. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

10.2 "AS IS" and "AS AVAILABLE"

You acknowledge that motorcycle riding and camping involve inherent risks. You are solely responsible for your safety. Gear recommendations are suggestions only and should not replace professional advice. We are not responsible for any injuries or damages that may occur while using recommended gear or following packing lists.

11. Indemnification

You agree to defend, indemnify, and hold harmless Williams Outdoor Gear LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use or misuse of the Service, your User Content, or your violation of any third-party rights or applicable laws.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at support@motopackerapp.com and attempt to resolve the dispute informally. If a dispute is not resolved within 30 days, you or we may initiate formal dispute resolution.

12.2 Mediation

If informal resolution fails, you and Williams Outdoor Gear LLC agree to participate in good-faith mediation before pursuing arbitration or litigation.

12.3 Binding Arbitration

If mediation fails within 60 days, any remaining dispute shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA), conducted in North Carolina in English. The arbitrator's decision will be final and binding.

Exceptions: Claims for injunctive or equitable relief, intellectual property disputes, and small claims court matters are not subject to arbitration.

12.5 Governing Law & Venue

These Terms shall be governed by the laws of the State of North Carolina and the United States. Any legal action not subject to arbitration shall be brought exclusively in state or federal courts located in North Carolina.

13. International Users

The Service is controlled and operated from the United States. If you access the Service from outside the United States, you are responsible for compliance with local laws and regulations.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms, updating the "Last Updated" date, sending an email notification, or displaying an in-app notification. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

15–18. General Provisions

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Williams Outdoor Gear LLC regarding the Service.

16. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

18. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
